Proxy Agreement委托代理合同
This Proxy Agreement (“Agreement”) is entered into by and
between [Client Name], with its principal place of business
located at [Address], (“Client”), and [Agent Name], with its
principal place of business located at [Address], (“Agent”),
collectively referred to as the “Parties” in this Agreement.
本代理合同（“合同”）由[客户名称]，其主要业务场所位于

1. Appointment of Agent代理的委任
The Client hereby appoints the Agent as its exclusive agent to

2. Term of Agreement协议期限

- Provide Agent with accurate and complete information
related to the services requested and timely payment of all fees
and charges in accordance with this Agreement;- 确保向代理提
供有关所请求服务的准确和完整的信息，并根据本协议及时支
付所有费用和收费；- Cooperate with Agent to ensure successful
completion of all services identified in this Agreement; and- 与代
理合作，确保完成本协议所述的所有服务。
3.2 Rights and Obligations of Agent代理的权利和义务
The Agent shall have the following rights and obligations:
代理应享有以下权利和义务：
- Perform the services identified in this Agreement to the
best of its abilities and in accordance with professional standards
and the instructions of the Client;- 根据做事方式和客户的指示，
尽力完成本协议中所述的服务，符合职业标准；- Maintain the
confidentiality of all information provided by the Client and not
disclose such information to any third party without the prior
written consent of the Client;- 保守所有客户信息的机密，并未
经客户事先书面同意不将此类信息透露给任何第三方；-
Notify the Client immediately upon becoming aware of any
conflict of interest or potential conflict of interest regarding the
provision of services under this Agreement; and- 一旦发现与本
协议下服务提供的利益冲突或潜在利益冲突，应立即通知客
户。
4. Fees and Payment费用和支付
4.1 Agent Fees代理费用
The Client shall pay Agent fees in accordance with the terms
and conditions set forth in this Section 4.
客户应按照本协议第 4 条所载的条款和条件支付代理费
用。
4.2 Payment Terms支付条件
The Client shall pay Agent the fees as follows:
客户应按以下方式支付代理费用：

5. Termination终止
Either Party may terminate this Agreement in the event of a
material breach of this Agreement by the other Party that is not

面通知后三十（30）天内解决的情况下，终止本协议。
6. Governing Law管辖法律
This Agreement shall be governed by and construed in
accordance with the laws of the People’s Republic of China. Any
dispute arising out of or in connection with this Agreement shall
be settled through amicable negotiation between the Parties. If
the dispute cannot be resolved through negotiation, the Parties
agree to submit the dispute to the [Specify arbitration institution]
for arbitration in accordance with its rules and procedures.
本协议应适用中华人民共和国法律。如果发生讨论或与本
协议有关的任何争议，双方应通过友好谈判解决。如果通过谈
判无法解决争议，双方同意将有关争议交付[指定仲裁机构]进
行仲裁，并按照其规则和程序进行。
7. Entire Agreement完整协议
This Agreement constitutes the entire agreement between
the Parties, and supersedes all prior agreements, understandings,
and representations, whether oral or written.
本协议构成双方之间的完整协议。协议效力高于任何口头
或书面的先前协议、理解和表述。
8. Amendments修订
This Agreement may be amended or modified only upon the
mutual written consent of the Parties.
本协议只能在双方的书面共同同意下得以修改。
9. Execution and Counterpart签署和副本
This Agreement may be executed in counterparts. Each
counterpart shall be deemed an original, but all counterparts shall
constitute one and the same instrument.
本协议可以分别在每份副本上签署。每份副本均视为原件，
但所有副本共同构成同一协议。
IN WITNESS WHEREOF, the Parties hereto have executed this
Agreement as of the date first above written.
